Who we are
VisionX Enterprise is a web development and digital marketing agency based in Raniban, Kathmandu, Nepal. References to "we", "us", and "our" mean VisionX Enterprise.
Use of the website
- You may browse the website for personal and business purposes.
- You may not attempt to gain unauthorised access, run automated scrapers that harm performance, or use the site to distribute malware.
- You may not republish our content, copy our designs, or pass our work off as your own without written permission.
Project engagements
Every project is governed by a separate written proposal or statement of work that includes scope, timelines, pricing, and payment terms. The proposal forms part of these terms once both parties accept it.
Intellectual property
- You retain ownership of all the materials, copy, and brand assets you supply to us.
- On final payment, ownership of the deliverables we create for you (code, designs, written content) transfers to you.
- Until final payment is received, all deliverables remain the property of VisionX Enterprise.
- We retain the right to display the finished work in our portfolio and case studies unless we have agreed otherwise in writing.
Fees and payment
Fees are quoted in the currency stated in the proposal (typically USD or NPR). Invoices are payable within 14 days unless the proposal says otherwise. Late payments may attract a reasonable interest charge or pause the project until they are settled.
Warranties and limits
We work in good faith to deliver the agreed scope on the agreed timeline. We do not, however, warrant that the website or services will be uninterrupted, error free, or that they will meet a specific commercial outcome that depends on factors outside our control. Our total liability for any claim arising from a project is limited to the fees paid for that project in the 12 months preceding the claim.
Termination
Either party may terminate an engagement by written notice. If you terminate, you remain liable for the work completed up to the termination date. We may terminate immediately if invoices remain unpaid for more than 30 days or if our staff are subjected to abusive behaviour.
Governing law
These terms are governed by the laws of Nepal. Any dispute that cannot be settled through good faith discussion will be referred to the courts of Kathmandu.
Changes to these terms
We may update these terms from time to time. The version posted on this page is the version that applies. Material changes that affect existing engagements will be notified to active clients in writing.
